Provex is a software-as-a-service platform that allows users to build, configure, and run AI agents. The Service includes hosted infrastructure, tooling, knowledge management, and access to third-party large language model providers. We may add, modify, or remove features at any time at our discretion.

To use the Service, you must create an account and provide accurate, current information. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.

You agree not to use the Service to: • Violate any applicable law or regulation. • Infringe intellectual property rights of others. • Generate, distribute, or facilitate illegal content, including content that exploits minors. • Send spam, phishing communications, or unsolicited marketing. • Distribute malware, exploit vulnerabilities, or interfere with the Service's operation. • Harass, threaten, or harm others. • Misrepresent your identity or impersonate another person or entity. • Bypass rate limits, usage controls, or any technical restriction. • Reverse-engineer, decompile, or attempt to extract proprietary code. • Use AI-generated content to deceive or defraud others. We reserve the right to suspend or terminate accounts that violate this policy.

Merchant of Record Payments for our Service are processed by Paddle.com Market Limited acting as our Merchant of Record. Paddle handles billing, payment processing, tax collection, refunds, and chargebacks on our behalf. By purchasing a subscription, you agree to Paddle's terms in addition to ours. Subscriptions Subscriptions automatically renew at the end of each billing period unless cancelled before renewal. You can cancel at any time from your account settings; access continues through the end of the paid period. Usage credits Plans include a monthly usage allowance. Details of the allowance and any add-on top-ups are described on our pricing page. Price changes We may change subscription prices with at least 30 days' notice. Changes apply at the start of your next billing period.

Provex may offer a marketplace where users can publish AI agents for purchase by other users. Marketplace terms, including creator revenue share and content rules, will be set out in a separate Marketplace Agreement at launch. Marketplace creators are responsible for the content and lawfulness of agents they publish.

You retain ownership of content you upload to the Service, including prompts, knowledge files, and agent configurations ("User Content"). You grant Provex a worldwide, non-exclusive, royalty-free license to host, process, and display User Content solely to operate the Service. You are responsible for ensuring you have the right to upload User Content and that it does not violate third-party rights.

The Service generates output using third-party large language models. AI-generated output may be inaccurate, incomplete, biased, or otherwise unsuitable. You are responsible for reviewing all output before relying on it. Provex makes no warranty regarding the accuracy or fitness of AI output. Do not use the Service for medical, legal, financial, or other professional advice without independent verification.

The Service, including all software, designs, and content (excluding User Content), is owned by Provex or its licensors and is protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

The Service integrates with third-party providers, including Anthropic and Model Context Protocol (MCP) servers. Your use of these third-party services is subject to their own terms and policies. We are not responsible for third-party service availability or behavior.

The Service is provided "as is" and "as available," without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law, Provex's total liability arising out of or relating to these Terms or the Service is limited to the amount you paid to us in the twelve (12) months preceding the claim. In no event will Provex be liable for indirect, incidental, special, consequential, or punitive damages.

You agree to indemnify and hold Provex, its officers, employees, and affiliates harmless from any claims, losses, or damages arising from your use of the Service, your User Content, or your violation of these Terms.

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to access the Service ceases immediately. You may terminate your account at any time by cancelling your subscription and contacting support at [email protected]

These Terms are governed by the laws of the Republic of Armenia, without regard to conflict-of-law rules. Any dispute arising out of these Terms is subject to the exclusive jurisdiction of the courts of Yerevan, Armenia.

We may update these Terms from time to time. We will notify you of material changes by email or in-product notice at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
